Wendy’s shares rose today, but remain down about 11% this year.
Squareburger maker Wendy’s recently announced an $8 combo meal. It has a much bigger deal to contemplate today.
A group including billionaire Nelson Peltz’s Trian Partners, which in a regulatory filing said it controlled more than 16% of Wendy’s (WEN), this morning said it would offer $7.35 per share in cash for the rest of the fast-food chain. The offer, which marked the latest twist in a back-and-forth saga involving Trian and Wendy’s, represented about a 20% premium to Tuesday’s close.

Wendy’s stock, which finished today up 15% at a bit over $7, remains down about 11% in 2026. Its shares have steadily and dramatically fallen from post-pandemic highs, and today’s move doesn’t change much in that context.

Trian declined to comment beyond its filing. Wendy’s in a statement said a committee of independent directors is considering Trian’s offer. “There can be no assurance that the Company will pursue this transaction or other strategic outcome, or that any definitive agreement will be approved or consummated,” the statement said.
Fast-food chains have faced a tough setup lately, as Crystal Kim recently wrote for Value Add, Investopedia’s Substack: Lower-income consumers have been particularly price-conscious, while businesses higher up the ladder are also pitching value. At Wendy’s, U.S. sales fell more than 8% in the company’s most-recently-reported quarter; it reports another set of results next week.
“Wendy’s sits at a critical juncture. The external environment has become increasingly challenging given the significant pressures on the U.S. consumer, economic uncertainty, persistent commodity inflation and intensifying competition,” Trian’s filing read. “Accordingly, we believe this is the right time for Wendy’s shareholders to realize certain value at an attractive premium.”
